HappyFox Inc. (the "Company", “we”, “our”, or “us”) is committed to ensuring the privacy of individuals who visit happyfox.com, happyfox.net and happyfoxchat.com (the “Visitors”). Individually and collectively, the sites happyfox.com, happyfox.net and happyfoxchat.com are referred to as (a “Site” or the “Sites”). Individuals who register to use the Services as defined below (“Customers”); individuals who register to attend our corporate events or provide information to us at trade shows or similar events (“Attendees”); and individuals who apply for a job with us (“Applicants”) may be referred to individually and collectively as ("you"). This Privacy Policy describes our policies and practices in effect for the use of the Sites and the related applications and services offered by us (collectively, the “Services”). This Privacy Policy also covers the privacy practices of the Sites that link to this Privacy Policy, including how we collect, use, and share the Personal Data you provide.

We respect your privacy rights. This Privacy Policy details how we handle the information received from you. 1. CONFIDENTIALITY AND SECURITY OF PERSONAL DATA

HappyFox is committed to protecting the security of your personal information. We use a variety of security technologies and procedures to help protect your personal information from unauthorized access, use, or disclosure. While we follow generally accepted standards to protect the information submitted, including the use of secure socket layer (“SSL”) technology, no method of storage or transmission is 100% secure. Therefore, while we use reasonable efforts to protect your personal information, we cannot guarantee its absolute security.

2. INFORMATION THAT WE COLLECT

    We may collect personal data from you at different times, as described below. Among other purposes described in detail below, your personal data may be used to contact you with newsletters, marketing or promotional materials and other information that may be of interest to you. You may opt out of receiving any or all of these communications from us by following the unsubscribe link or instructions provided in any email we send.

        3. Company-specific information, such as your company name and information about the number of employees in your organization.
        4. User credentials, such as your user id and password.
      3. Other. We may also ask for and collect personal information such as an email address and a name or alias from any individual that you authorize to log into and utilize the Services in connection with your account. Occasionally, we connect personal information to information gathered in our log files, as set forth below. In such a case, we would treat the combined information in accordance with this Privacy Policy.
    2. Visitor Personal Information: When a visitor to our Sites submits a user inquiry through the “contact us” form on the Sites, we collect personal data including, but not limited to:

      If you sign up for a free trial account, we may collect the same information from you that we collect from any customer, as described above. We will not, however, collect any credit card information from you until you subscribe as a paying customer.

    3. Attendee Personal Data: When an Attendee registers for or attends a sponsored event, we collect personal data including, but not limited to:
      1. Identifying information, such as your name.
      2. Contact information, such as your email address, phone and/or fax number, and physical address.
      3. We may also collect this information from other events in which we participate.
    4. Applicant Personal Data: When an Applicant applies for a job through the Site, we collect personal data including, but not limited to:
      1. Identifying information, such as your name.
      2. Contact information, such as your email address, phone and/or fax number, and physical address.
      3. Employment-related information, such as your resume or curriculum vitae.
    5. Traffic Information: When you visit any of the Sites, we automatically track and collect certain information including, but not limited to (“Traffic Information”):
      1. System information, such as your internet protocol (“IP”) address and domain server, type of browser and operating system, preferences (such as language and location preferences), identification numbers associated with your devices that you use to access the Sites, your mobile carrier and information about your system configuration.
      2. Information about your visit to the Sites, including date and time of your visit, what pages you visited on our Sites.
    6. Usage Data: We also collect “Usage Data” about groups or categories of services, features or users, which do not contain personally identifying information. Usage Data helps us understand trends in usage of the Services so that we can better consider new features or otherwise tailor the Services.
    7. Organization Data: We may ask you to provide additional information, such as company annual revenues, number of employees, or industry.
    8. Site Navigational Information: We use commonly-used information gathering tools, such as cookies and Web beacons, to collect information as you navigate the Sites about your use of the Sites and Services (“Site Navigational Information”). As described in detail below, we and our partners use these cookies or similar technologies to analyze trends, administer websites including the Sites and Services, track users’ movements around the Sites and Services, serve targeted advertisements and gather demographic information about the user base as a whole.
      1. Cookies: We use cookies to make your interactions with the Sites easy and meaningful. When you visit one of the Sites, our servers send a cookie to your computer. Standing alone, cookies do not personally identify you; they merely recognize your web browser. Unless you choose to identify yourself to us, such as by responding to a promotional offer, opening an account, or filling out a Web form (such as a “Contact Us” or a “Demo Request” or an account “Sign Up” Web form), or by becoming an Applicant, you remain anonymous to us. We use both session cookies and persistent cookies. Session cookies exist only during one session. They are deleted from your computer when you close your browser software or turn off your computer. Persistent cookies remain on your computer after you close your browser or turn off your computer. You can instruct your browser to refuse all cookies or to indicate when a cookie is being sent.       2. Web Beacons: We use Web beacons alone or in conjunction with cookies to compile information about customers and visitors’ usage of the Sites and Services and interaction with emails from us. Web beacons are clear electronic images that can recognize certain types of information on your computer, such as cookies, when you viewed a particular website or Services tied to the Web beacon, and a description of a website or Services tied to the Web beacon. We also use Web beacons to operate and improve the Sites, Services and email communications.
      3. Log Files, IP Addresses, URLs and Other Data: As is true of most websites, we gather certain information automatically to analyze trends in the aggregate and administer their Sites and Services. This information may include your Internet Protocol (IP) address (or the proxy server you use to access the World Wide Web), device and application identification numbers, your location, your browser type, your Internet service provider and/or mobile carrier, the pages and files you viewed, your searches, your operating system and system configuration information, and date/time stamps associated with your usage. Due to Internet communications standards, when you visit or use the Sites and Services, we automatically receive the URL of the website from which you came and the website to which you go when you leave our Sites. This information is used to analyze overall trends, to help us improve the Sites and Services, to track and aggregate non-personal information, and to provide the Sites and Services. For example, we use IP addresses to monitor the regions from which customers and visitors navigate the Sites. We also collect IP addresses from customers when they log into the Services as part of the “IP Restriction” security feature as well as to maintain audit logs.
      4. Do Not Track Signals: Currently, various browsers, including Internet Explorer, Firefox, and Safari, offer a “do not track” or “DNT” option that relies on a technology known as a DNT header, which sends a signal to Web sites’ visited by the user about the user's browser DNT preference setting. We do not currently recognize browsers' DNT signals.
    9. Mobile Application Data: We may obtain information collected through applications (“Mobile Applications”) that Customers or their authorized individuals download to and run on their mobile devices. Mobile Applications provided by us may obtain information from, or access data stored on, users’ devices to provide services related to the relevant Mobile Application. Information obtained to provide Mobile Application services may include information obtained in preparation for anticipated updates to those services. Mobile Applications may transmit information to and from mobile devices to provide the Mobile Application services, including but not limited to identifying information received in order to send push notifications as part of the Services.
  2. Customer Data: Customers may electronically submit personal data or other information to the Services for hosting and processing purposes. For the purposes of European laws relating to the processing of personal data, we are the data processor and not the data controller with respect to this data. Customers who control their customer data and send the data to our Sites or Services for processing are the "data controllers" of that data. We collect information under the direction of our customers (the data controller), we do not determine the purposes and means of processing of that data, and we have no direct relationship with the customer’s authorized users whose personal data we process. We do not own or control the data that customers store or process through the Services. We access such data only for the purpose of providing the Services or preventing or addressing service or technical problems or as may be required by law.
  3. Personal Data and other information from Third Party Services: We may also obtain other information, including personal data, from third parties and may combine that information with personal data and other information that we collect through its Sites and Services.

3. INFORMATION COLLECTED BY THIRD PARTIES

Certain third parties may collect Personal Data and other information made available through the Sites:

  1. Advertisers: We contract with third-party advertising networks that collect IP addresses and other information from Web beacons on the Sites and Services, from emails, and on third-party web sites. These networks follow your online activities over time and across different sites or other online services by collecting Site Navigational Information through automated means, including through the use of cookies. These technologies may recognize you across the different devices you use, such as a desktop or laptop computer, smartphone or tablet. Third parties use this information to provide advertisements about products and services tailored to your interests

  2. Social Media: The Sites may use social media functionality that collects your IP address and the page you are visiting on the Sites and may set a cookie to enable the feature to function properly. You may also be given the option by such social media functionality to post information about your activities on the Sites to a profile page that is provided by a third-party social media network in order to share with others within your network. Any social media functionality will be hosted by a third party or, alternatively, hosted directly on the Site. Your interactions with any social media functionality will be governed by the privacy policy of the applicable social media company providing the social media functionality. We have no control over the information that you choose to post to social media, and cannot ensure that third parties do not collect information that you post.

4. HOW WE USE THE PERSONAL DATA AND OTHER INFORMATION THAT WE COLLECT

  1. Provide Access and Use: We may use personal data and other information to enable you to access and use the Sites and Services. This includes providing any customer support that you may request; providing responses to your comments, questions and requests; sending you technical notices, updates, security alerts, and support; and sending you administrative notices.

  3. Process and Complete Transactions: We use personal data and other information to: (i) bill, identify, authenticate, process and complete transactions; (ii) send you related information, including purchase confirmations and invoices; (iii) send transactional messages, including responses to your comments, questions, and requests; (iv) provide customer service and support; (v) send you technical notices, updates, security alerts; and (vi) provide support and administrative messages.
  4. Promote the Services: We use personal data and other information to send promotional communications, such as providing you with information about products and services, features, surveys, newsletters, offers, promotions, contents, and events, and other news and information about us and our partners. You can opt-out of receiving certain of these promotional communications by following the instructions at the bottom of the communication.
  5. Personalize the Sites and Services: We use personal data and other information to personalize the Sites and Services.
  6. Provide Service-Related Communications: We use personal data to provide service related communications, such as information and updates on scheduled site maintenance.
  7. Improve Content and Functionality of Sites and Services: We use and store personal data about your use of the Sites, such as the date and time of your visit, to help improve the content and functionality of the Sites and Services.
  8. Provide Security and Prevent Fraud: We may use personal data to prevent, detect, and investigate fraud, security breaches, potentially prohibited or illegal activities, unauthorized access to the Services, fraudulent transactions, illegal activities, and enforce Company’s terms of service (current version).
  9. Plan and Host Events: We may use personal data and other information about attendees of our events to plan and host events, host online forums and social networks in which the attendees may participate, and to populate online profiles for attendees on our Sites.
  10. Deliver Contests and Sweepstakes: We may use personal data and other information to process and deliver contests, sweepstakes entries, and rewards.
  11. Other Uses: We may use personal data and other information for other purposes for which we obtain your consent.

5. SHARING OF PERSONAL DATA AND OTHER INFORMATION

  1. Third Party Service Providers: We may share personal data and other information with third-party service providers (“Service Providers”) to help us operate the Sites and provide the Services, and that help us operate our business.
  2. Marketing and Advertising: We may share personal data and other information about users of our website, customers and other persons about whom we collect personal information with third-party social networking and media websites for marketing and advertising on those websites. Unless specifically stated in this Privacy Policy, we do not share, sell, rent, or trade any information with any third parties.
  3. Business Partners: We may partner with other companies to jointly offer products or services, such as our integration partners. If you purchase or specifically express interest in a jointly-offered product or service from or through us, we may share personal data and other information about you collected in connection with your purchase or expression of interest with our partner(s). We do not control our business partners’ use of the personal data or other information, and their use of the information will be in accordance with their own privacy policies. If you do not wish for your information to be shared in this manner, you may opt not to purchase or specifically express interest in a jointly-offered product or service.
    We do not share personal data or other information about attendees to our events with business partners unless: (i) you specifically opt in to such sharing via an event registration form; or (ii) you attend an event and allow us or any of our business partners to scan your attendee badge. If you choose to share your information with business partners in the manner described above, your information will be subject to the business partners’ respective privacy policies.
    We partner with third parties to display advertising on the Sites and to manage advertising on other sites. Our third-party partners may use technologies such as cookies to gather information about your activities on the Sites and other sites in order to suggest advertisements based upon your browsing activities and interests. If you wish to not have this information used for the purpose of serving your interest-based ads, you may be able to opt-out by clicking here (or if located in the European Union users should click here). Please note this does not opt you out of being served ads and you will continue to receive generic ads.
  4. Law Enforcement: In certain situations, we may be required to disclose personal data in response to lawful requests by public authorities, including to meet national security or law enforcement requirements. We may disclose personal data to respond to subpoenas, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims. We may also share such information if we believe it is necessary in order to investigate, prevent, or take action regarding illegal activities, suspected fraud, violations of our terms of service, or as otherwise required by law.
  5. Public Forums and Blogs: The Sites offer publicly-accessible blogs or community forums. If you participate in such blogs, forums and/or add feedback/comments inside the Services, you should be aware that any information you provide in these areas may be read, collected, and used by other members in these forums and other third parties. We have no control over the information that you choose to submit in these forums or blogs. Business Transaction: We may share some or all of your personal information in connection with or during negotiation of any merger, financing, acquisition or dissolution, transaction or proceeding involving the sale, transfer, divestiture, or disclosure of all or a portion of our business or assets. In the event of an insolvency, bankruptcy, or receivership, personal information may also be transferred as a business asset. If another company acquires HappyFox, our business, or assets, that company will possess the personal information collected by us and will assume the rights and obligations regarding your personal information described in this Privacy Policy.

6. INTERNATIONAL TRANSFER OF PERSONAL DATA AND OTHER INFORMATION COLLECTED

To facilitate our provision of the Services, we primarily store personal data and other information in the United States. While we offer customers the option to have their data stored in a European data center, we may still store some personal data in the United States and in other jurisdictions that have not been deemed “adequate” by the European Commission. To facilitate our global operations, we may transfer and access such Personal Data and other information from around the world, including from other countries in which we have operations. Your use of the Sites or Services constitute your agreement to the processing of your personal information in the United States and in other non-adequate jurisdictions.

7. RETENTION; CORRECTING AND UPDATING PERSONAL DATA

We will retain your personal data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use your personal data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies.

8. NOTICE TO CALIFORNIA CONSUMERS

Pursuant to the California Consumer Privacy Act of 2018 (“CCPA”), natural persons who are California residents have certain rights concerning their personal information held by us, as described below. This supplemental notice is effective as of April 28, 2023, shall apply only to residents of California, and may be subject to change.

California Privacy Rights: To the extent provided for by law and subject to applicable exceptions, California residents have the following privacy rights in relation to the personal information we collect:

  1. The right to know what personal information we have collected about you in the 12 months before your request and how we have used and disclosed that personal information;
  2. The right to request deletion of your personal information;
  3. The right to request correction of your personal information if the personal information we have about you is inaccurate; and
  4. The right to be free from discrimination relating to the exercise of your California privacy rights as described in this section.

Sensitive Personal Information: Companies that collect, use, and disclose your sensitive personal information (as that term is defined in the CCPA) for purposes other than providing you with goods or services are required to provide you with the right to limit the use and disclosure of your sensitive personal information by providing a “Limit the Use and Disclosure of My Sensitive Personal Information” link. We do not collect, use, or disclose any of your sensitive personal information.

Opt-Out Preference Signals: Some web browsers allow consumers to automatically exercise their right to opt-out of the sale or sharing with all businesses they interact with online by initiating an opt-out preference signal. We will honor such opt-out preference signals.

Verification: In order to protect your personal information from unauthorized access or deletion, we may require you to verify your login credentials or engage in other identity verification procedures before you can submit a CCPA request. If you do not have an account with us, or if we suspect fraudulent or malicious activity, we may ask you to provide additional personal information for verification. If we cannot verify your identity, we will not provide, correct or delete your personal information.

Authorized Agents: You may submit CCPA request(s) through an authorized agent. If you do so, the agent must present signed written permission to act on your behalf and you may also be required to independently verify your identity with us.

9. TESTIMONIALS

If you choose to use our referral service to tell a friend about our products and services, we will ask you for your friend’s name and email address. We will automatically send your friend an email inviting him or her to visit the Sites and will store this information for the purpose of sending this initial email, tracking the success of our referral program and other marketing activities. Your referral may contact us at [email protected] to request that we remove his/her information from our database. We will make reasonable efforts to remove his/her personal information upon request.

10. REFERRALS

If you choose to use our referral service to tell a friend about our products and services, we will ask you for your friend's name and email address. We will automatically send your friend an email inviting him or her to visit the Sites and will store this information for the purpose of sending this initial email, tracking the success of our referral program and other marketing activities. 11. CHILDREN'S PERSONAL DATA

We do not knowingly collect any personal data from children under the age of 13. If you are under the age of 13, please do not submit any personal data through our Sites or Services. We reserve the right to make changes to this Privacy Policy at any time. If we make material changes to this Privacy Policy, we will post the revised version to our website and update the “Effective Date” at the top of this Privacy Policy. Except as otherwise indicated, any changes will become effective when we post the revised Privacy Policy to our website.

14. OPTING OUT OF MARKETING COMMUNICATIONS

We may use your personal information to send you newsletters or to contact you for marketing or advertising purposes. Unsubscribe instructions will accompany these communications where required by law.
